Welcome to the Textgrid Affiliate Program (“Program”). By applying to and participating in the Program, you (“Affiliate” or “you”) agree to the following terms and conditions (“Agreement”) governing your relationship with Textgrid (“Company,” “we,” or “us”).

1. Enrollment and Acceptance

Participation in the Program is subject to our approval. We reserve the right to accept or reject any affiliate application at our sole discretion without providing a reason.

2. Affiliate Responsibilities

You agree to:

  • Only promote Textgrid truthfully and without misleading claims.
  • Avoid bidding on Textgrid trademarks or brand terms (including variations and misspellings) in paid advertising.
  • Use only Textgrid-approved marketing materials.
  • Comply with all applicable laws and regulations, including the CAN-SPAM Act, GDPR, TCPA, and others.
  • Not engage in unsolicited marketing (spam), phishing, or deceptive practices.
  • Not claim or imply that you are an official representative or partner of Textgrid without written permission.
  • Not promote Textgrid on websites or in content containing hate speech, violence, illegal activities, or adult content.

3. Commissions

  • Affiliates earn 10% of the messaging fees (e.g., $0.0035 per message) paid by referred customers.
  • Commissions apply only to messaging fees and do not include:
    • Carrier surcharges
    • Phone number fees
    • Setup fees
    • Regulatory fees
    • Any other non-messaging charges.
  • Commissions are paid monthly, subject to a minimum payout threshold of $25 USD.
  • Commission Term: Commissions are payable for a maximum of twelve (12) months following a customer’s initial signup. No commissions shall be owed for usage beyond the one-year anniversary of the customer’s signup date.
  • Textgrid reserves the right to adjust commission structures or messaging rates with 30 days’ written notice.

4. Tracking and Attribution

Affiliate referrals are tracked using cookies, URL parameters, or API integrations. Textgrid is not responsible for tracking failures caused by user settings, privacy tools, or technical issues outside its control.

5. Payment Disputes

All disputes related to commissions, billing, tracking, or payments must be submitted to Textgrid within three (3) months of the event giving rise to the dispute. Claims not submitted within this period are permanently waived.

6. Prohibited Activities and Forfeiture of Commissions

Engaging in the following activities will result in immediate termination and forfeiture of unpaid commissions:

  • Violating laws such as TCPA, CAN-SPAM, GDPR, or similar.
  • Sending spam or unsolicited messages.
  • Phishing, impersonation, or deceptive marketing.
  • Using unapproved or misleading promotional methods.

Affiliates will not be entitled to any commissions for messaging traffic that promotes or involves illegal drugs, controlled substances, violence, or any other prohibited content. Textgrid reserves the right to withhold or claw back commissions if such content is discovered.

7. No Self-Referrals

You may not refer yourself, your immediate family members, employees, or agents to generate commissions. Self-referral commissions will be denied and subject to forfeiture.

8. Audit and Investigation Rights

Textgrid reserves the right to audit affiliate activities, traffic sources, and referred customer accounts to ensure compliance. Failure to cooperate with an audit may result in termination from the Program and forfeiture of commissions.

9. Relationship of Parties

You are an independent contractor. This Agreement does not create any employment, partnership, agency, franchise, or joint venture relationship between you and Textgrid.

10. Confidentiality

You agree not to disclose or use any non-public information concerning Textgrid’s business operations, strategies, customers, or technology.

11. Limitation of Liability

Textgrid shall not be liable for indirect, incidental, special, punitive, or consequential damages, even if advised of the possibility. Textgrid’s maximum liability under this Agreement is limited to the total commissions paid to you in the preceding twelve (12) months.

12. Taxes

You are solely responsible for reporting and paying all federal, state, and local taxes related to commissions received under this Program.

13. No Official Partnership Representation

You may not represent yourself as an employee, partner, agent, or authorized representative of Textgrid without prior written consent.

14. Reservation of Rights

Textgrid reserves the right to:

  • Reject any referred customer for any reason.
  • Modify or terminate the Program at any time.
  • Modify this Agreement by posting an updated version on its website. Continued participation after modifications constitutes acceptance.

15. Governing Law and Arbitration

This Agreement shall be governed by the laws of the State of [Insert State].
All disputes shall be resolved exclusively through binding arbitration under the American Arbitration Association’s rules. Arbitration shall be conducted in [Insert City, State].
You and Textgrid waive the right to participate in any class action lawsuit or class-wide arbitration.

16. Tax Documentation (W-9 Requirement)

Affiliates who are U.S. citizens, residents, or entities must submit a valid IRS Form W-9 before receiving total cumulative payments exceeding $500 USD. Textgrid will not issue payments above this threshold without a completed W-9.
Non-U.S. affiliates may be required to submit appropriate documentation (e.g., Form W-8BEN).
Failure to submit required tax forms may result in withholding of commissions.

17. Indemnification and Offset Rights

You agree to indemnify, defend, and hold harmless Textgrid, its affiliates, and its respective directors, officers, employees, and agents from any and all claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or related to:

  • Your participation in the Program,
  • Your violation of this Agreement, or
  • Your violation of any applicable law or third-party rights.

Textgrid may offset any amounts owed to you under this Agreement against any indemnification obligations or damages incurred by Textgrid resulting from your acts or omissions.

18. Subaccount Policy

You earn commission for new real master accounts you refer, including their subaccounts.
You do NOT earn extra commission by creating fake new master accounts that are really subaccounts.

Textgrid reserves the right to retroactively withhold or claw back commissions if accounts are created in violation of this policy.

19. Entire Agreement

This Agreement constitutes the entire understanding between you and Textgrid regarding the Affiliate Program and supersedes all prior communications.
